CP Board Members to Stand for Election

Nine nominees will stand for election as Board Directors at Canadian Pacific’s (CP) April 27 annual and special meeting.

The CP Board of Director nominees are:
• Isabelle Courville: Courville joined the CP Board on May 1, 2013, and became Board Chair on May 7, 2019. An engineer and a lawyer by training, she has served as President of Hydro-Québec Distribution and Hydro-Québec TransÉnergie; President of Bell Canada’s Enterprise Group; and President and CEO of Bell Nordiq Group.
• Hon. John R. Baird, P.C.: Baird is a Member of the CP Corporate Governance, Nominating and Social Responsibility Committee and the Risk and Sustainability Committee. He is a Senior Advisor to various enterprises and former Senior Cabinet Minister in the Government of Canada.
• Keith Creel: Prior to assuming his current role as CP President and CEO on Jan. 31, 2017, Creel was President and Chief Operating Officer. He joined the CP Board in May 2015.
• Jill Denham: Denham joined the CP Board in 2016, and is a Member of the Audit and Finance Committee and the Management Resources and Compensation Committee. She is President of Authentum Partners Ltd.
• Edward R. Hamberger: Hamberger became a CP Board Member after retiring in 2019 as President and CEO of the Association of American Railroads (AAR). He is a Member of the Audit and Finance Committee and the Risk and Sustainability Committee.
• Matthew H. Paull: Paull joined the CP Board in 2016. He is Chair of the Management Resources and Compensation Committee and a Member of the Risk and Sustainability Committee. Paull retired as Senior Executive Vice-President and Chief Financial Officer of McDonald’s in January 2008.
• Jane L. Peverett: Peverett has been a CP Board Member since 2016, and is Chair of the Audit and Finance Committee and a Member of the Corporate Governance, Nominating and Social Responsibility Committee. She is on the Board of Directors for Canadian Imperial Bank of Commerce, NW Natural, and Capital Power Corporation, and chairs the Board of CSA Group.
• Andrea Robertson: Robertson is a member of the CP Board’s Management Resources and Compensation Committee, and serves as President and CEO of STARS (Shock Trauma Air Rescue Service) Air Ambulance.
• Gordon Trafton: Trafton joined the CP Board in 2017, and serves as Chair of the Risk and Sustainability Committee and a Member of the Corporate Governance, Nominating and Social Responsibility Committee. In 2010, he retired from his position of Special Advisor to the CN leadership team.

Current CP Board Director Rebecca MacDonald has advised that she will not stand for re-election, CP said. “The CP Board of Directors would like to thank Rebecca for her valuable contribution to the CP Board in her 10 years as a Director and as Chair of the Governance Committee during her tenure,” the Class I railroad reported. “Rebecca’s contributions have played a key role in the company’s success.”

Similarly, Ed Monser will not stand for re-election, as previously announced. “The Board thanks Ed for his service and wishes him the very best for the future,” CP reported.

CP Board Chair Isabelle Courville

“With these nominees, the CP Board will have nine exceptional members with a range of professional experience, including knowledge of the railway industry, as we head toward our historic integration of the Kansas City Southern (KCS) into our network, pending approval of the U.S. Surface Transportation Board (STB),” CP Board Chair Isabelle Courville said. “We continue to be a Board that values diversity of experience as well as background, gender and geography, with our directors coming from Canada and the United States.”

Additionally, CP said: “Provided that the STB gives final approval to our merger with KCS, which we expect to be in the fourth quarter of 2022, we will welcome four current members of the KCS Board who will bring their unique strengths and perspectives to the Board of the combined company. We believe that with the addition of those four Board members, we will have the right combination of skills and experience to move the combined company forward.”
